GIGNUT TERMS OF USE — FANS Effective upon acceptance. Please read carefully: this is a binding agreement. 1. ACCEPTANCE OF THESE TERMS By creating an account, clicking "I Agree," or using GigNut (the "Platform"), you agree to these Terms of Use (the "Terms"). If you do not agree, do not use the Platform. We may update these Terms; when we do, you will be asked to accept the updated Terms before continuing to use your account. 2. WHAT GIGNUT IS — AND WHAT IT IS NOT GigNut is a discovery and communication platform that connects fans, live-music artists, and venues. GigNut is ONLY a platform: (a) We do not employ, manage, book, or represent any artist or venue. (b) We do not process, hold, or guarantee payments between users. ANY PAYMENT, BOOKING, OR PERFORMANCE ARRANGEMENT MUST BE COVERED BY YOUR OWN SEPARATE CONTRACT DIRECTLY BETWEEN YOU AND THE OTHER PARTY. GigNut does not provide, review, or enforce such contracts at this time. (c) We do not verify, mediate, or arbitrate the truth of content users post. Profiles, show listings, specials, photos, bios, and messages are the sole responsibility of the user who posts them. 3. YOUR ACCOUNT AND ACCURATE INFORMATION You agree that all information you provide — including your identity, contact details, profile content, show times, prices, and specials — is accurate, current, and kept up to date. Impersonating another person, act, or venue, or claiming a profile you do not control, is prohibited and grounds for immediate removal. 4. COMMUNITY CONDUCT GigNut exists to make local live music thrive. You agree to: (a) Use in-app messaging respectfully and lawfully. No harassment, threats, hate speech, sexual content directed at another user, stalking, doxxing, spam, chain messages, mass unsolicited promotion, or repeated unwanted contact after a user has blocked you or asked you to stop. (b) Behave appropriately in public interactions on and off the Platform that relate to Platform activity (shows, bookings, reviews, partnerships). Abusive conduct toward fans, performers, or venue staff connected to a GigNut listing may result in loss of your account. (c) Treat all users fairly. Discrimination against fans, artists, or venues on the basis of race, color, religion, national origin, sex, sexual orientation, gender identity, age, or disability is prohibited. (d) Never use the Platform for anything unlawful, including underage alcohol promotion, ticket fraud, or infringement of others' intellectual property (including performing-rights and recording rights). 5. REPORTS, SUSPENSION, AND REMOVAL Users may report conduct or content that violates these Terms. If we receive reports of, or otherwise learn of, inappropriate conduct or violations of these Terms, WE MAY SUSPEND OR PERMANENTLY REMOVE YOUR ACCESS TO GIGNUT AT OUR SOLE DISCRETION, WITH OR WITHOUT NOTICE. We are not obligated to investigate, but we may. Removal does not entitle you to any compensation. 6. CONTENT LICENSE You keep ownership of the content you post. You grant GigNut a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and promote that content on and in connection with the Platform (for example: showing your profile on city pages, in search, and in promotional tiles). You represent that you have all rights needed to post what you post. F. ADDITIONAL TERMS FOR FANS F1. Alerts and messages you opt into (email, SMS, push) are governed by your notification settings; SMS requires your explicit consent and you may opt out at any time (reply STOP). F2. Tickets, covers, food, and drink are sold by venues or their vendors — never by GigNut. Pricing, availability, refunds, and admission decisions (including age policies) belong to the venue. F3. Listed show times, prices, and specials are posted by venues and artists and may change or be inaccurate; confirm with the venue before traveling. F4. Be a good audience member: follow venue rules, respect staff and performers, and drink responsibly and lawfully. 7. NO WARRANTY; PLATFORM PROVIDED "AS IS" The Platform, and all content on it, is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied. We do not warrant that listings are accurate, that shows will occur, that venues or artists will perform their obligations, or that the Platform will be uninterrupted or error-free. 8. RELEASE AND COVENANT NOT TO SUE Because GigNut only provides the platform and does not create, verify, or mediate user content or user dealings, YOU AGREE, TO THE MAXIMUM EXTENT PERMITTED BY LAW, TO RELEASE GIGNUT AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS FROM, AND NOT TO SUE THEM FOR, ANY CLAIM ARISING OUT OF (a) CONTENT POSTED BY ANY USER, INCLUDING ITS ACCURACY OR TRUTHFULNESS; (b) ANY INTERACTION, BOOKING, PAYMENT, PERFORMANCE, OR DISPUTE BETWEEN YOU AND ANY OTHER USER; OR (c) ANY EVENT YOU ATTEND, PERFORM AT, OR HOST THAT WAS DISCOVERED THROUGH THE PLATFORM. If you are a California resident, you waive California Civil Code §1542 with respect to this release; residents of other states waive any similar statute. 9. LIMITATION OF LIABILITY To the maximum extent permitted by law, GigNut's total liability to you for any claim arising out of these Terms or the Platform will not exceed the greater of (a) the amount you paid GigNut in the twelve months before the claim arose, or (b) fifty U.S. dollars ($50). GigNut will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost bookings, or lost data. 10. INDEMNIFICATION You will indemnify and hold GigNut harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your conduct, your violation of these Terms, or your violation of any law or third-party right. 11. DISPUTE RESOLUTION; GOVERNING LAW These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law rules. Any dispute that is not released under Section 8 will be resolved by binding individual arbitration in St. Joseph County, Indiana, and YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION. Small-claims matters may instead be brought in small-claims court. 12. GENERAL If any provision of these Terms is found unenforceable, the rest remain in effect. These Terms are the entire agreement between you and GigNut regarding the Platform. We may assign these Terms in connection with a merger or sale; you may not assign them. You are solely responsible for the accuracy of your act's profile — including membership, show names, media, repertoire, travel range, and availability — and for keeping your show listings current, including cancellations. A2. GET IT IN WRITING: any compensation, deposit, cancellation, equipment, or exclusivity arrangement with a venue must be in your own written contract signed directly with that venue. GigNut partnerships and messages are NOT a contract and GigNut is not a party to, and will not enforce, your deals. A3. You represent that you hold all rights necessary for your performances and posted media (including songs, recordings, images, and video), and that your use of the Platform does not infringe performing-rights organizations' or any third party's rights. A4. Band managers are responsible for the conduct of their listed members on the Platform. Only truthful membership claims are permitted. A5. Tips and merchandise sales occur outside the Platform (e.g., your Venmo or store links); GigNut takes no part in and no responsibility for them. A6. Treat venues and fans professionally: show up as scheduled, honor advertised sets, and communicate changes promptly. 7. NO WARRANTY; PLATFORM PROVIDED "AS IS" The Platform, and all content on it, is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied. We do not warrant that listings are accurate, that shows will occur, that venues or artists will perform their obligations, or that the Platform will be uninterrupted or error-free. 8. You are solely responsible for the accuracy of your venue profile, event listings, and posted drink/food specials. An advertised special must be a genuine discounted price and must be honored as posted for its stated day or show. V2. You are solely responsible for legal compliance at your establishment, including alcohol service, occupancy, safety, accessibility, age restrictions, and any live-music licensing (e.g., ASCAP/BMI/SESAC). V3. GET IT IN WRITING: any payment, deposit, cancellation, or exclusivity arrangement with an artist must be in your own written contract signed directly with that artist. GigNut partnerships and messages are NOT a contract and GigNut is not a party to, and will not enforce, your deals. V4. Treat artists and fans fairly and professionally: pay performers as you agreed with them, honor scheduled bookings, and communicate cancellations promptly. V5. Analytics you receive are aggregate-only. You will not attempt to identify, re-identify, or directly contact individual fans outside the Platform's opt-in channels. 7. NO WARRANTY; PLATFORM PROVIDED "AS IS" The Platform, and all content on it, is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied. We do not warrant that listings are accurate, that shows will occur, that venues or artists will perform their obligations, or that the Platform will be uninterrupted or error-free. 8.
